1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Scout Digital LLC, doing business as CarePath Digital ("Company," "we," "us," or "our"), a limited liability company registered in Wyoming with physical operations in Texas.
By placing an order through our website, submitting our intake form, or otherwise engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
2. Services
CarePath Digital provides website design, development, and hosting services specifically tailored for mental health professionals. Our services include:
- Custom website design based on pre-designed style templates
- Website development and deployment
- Web hosting and SSL certificates
- Content setup and, depending on plan, professional copywriting
- Ongoing website maintenance and content updates (varies by plan)
3. Plans and Pricing
We offer multiple service plans with varying features, turnaround times, and pricing. Current plan details and pricing are available on our Pricing page. We reserve the right to modify pricing at any time, but changes will not affect existing active subscriptions until renewal.
Setup Fees
Certain plans require a one-time setup fee, due at the time of order submission. Setup fees are non-refundable once work on your website has begun.
Monthly Subscription
Monthly hosting and service fees begin after your website launches. Subscriptions are billed monthly and renew automatically until cancelled.
4. Client Responsibilities
To ensure timely delivery of your website, you agree to:
- Provide accurate and complete information in the intake form
- Supply all required content (text, images, logos) in a timely manner
- Respond to communications and review requests within a reasonable timeframe
- Ensure that all content you provide is accurate, lawful, and does not infringe on any third-party rights
- Maintain the confidentiality of any account credentials we provide
Delays in providing content or feedback may result in extended delivery timelines beyond our stated estimates.
5. Delivery Timeline
Delivery estimates (5-14 business days depending on plan) begin after we have received all required content and information from you. These are estimates only and not guaranteed delivery dates. We will make reasonable efforts to meet stated timelines.
6. Revisions
The number of revision rounds included depends on your selected plan. Revisions refer to changes to the initial design and layout. Additional revisions beyond those included in your plan may be available at an additional cost.
7. Intellectual Property
Your Content
You retain all ownership rights to the content you provide to us (text, images, logos, etc.). By providing content to us, you grant us a limited license to use it solely for the purpose of building and hosting your website.
Our Work
The website design, code, and templates created by CarePath Digital remain the intellectual property of Scout Digital LLC. Upon full payment of all fees and during an active subscription, you are granted a non-exclusive license to use the website for your practice. This license terminates upon cancellation of your subscription.
Third-Party Assets
Your website may include third-party assets such as stock images, fonts, or icons that are subject to their own licensing terms. We will ensure all third-party assets used are properly licensed.
8. Payment Terms
- Setup fees are due at the time of order submission.
- Monthly subscription fees are billed automatically on the same date each month, beginning after your website launches.
- All fees are in US dollars.
- Failed payments may result in suspension of hosting services after a reasonable grace period and notice.
- You are responsible for keeping your payment information current.
9. Cancellation and Refunds
Cancellation
You may cancel your monthly subscription at any time by contacting us at hello@carepathdigital.com. Cancellation will take effect at the end of the current billing period. Upon cancellation, your website will be taken offline.
Refunds
- Setup Fees: Setup fees are refundable if you cancel before we begin work on your website. Once design work has begun, setup fees are non-refundable.
- Monthly Fees: Monthly subscription fees are non-refundable for the current billing period. No partial-month refunds will be issued.
10. Website Hosting
As part of your subscription, we provide web hosting services. We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We are not liable for downtime caused by factors beyond our reasonable control, including but not limited to server failures, natural disasters, cyberattacks, or third-party service outages.
11. Acceptable Use
You agree not to use our services to:
- Host or distribute illegal, harmful, or offensive content
- Infringe on the intellectual property rights of others
- Distribute malware, spam, or engage in phishing
- Violate any applicable local, state, national, or international law
- Misrepresent your professional credentials or licensing status
We reserve the right to suspend or terminate services if we determine, in our sole discretion, that you are in violation of these terms.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Scout Digital LLC and its members, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our services.
Our total liability for any claim arising out of or related to these Terms or our services shall not exceed the total amount you have paid to us in the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Scout Digital LLC and its members, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of our services; (b) content you provide; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
14. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the state of Wyoming, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the state of Texas. You agree to waive any right to a jury trial.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Scout Digital LLC regarding your use of our services, and supersede any prior agreements between you and us.
